From everyone at AudioScribe, thank you for choosing our platform! We build AudioScribe to help you transform audio and video content into valuable text insights. These Terms of Service help us maintain a secure, reliable service for all our users.

When we say "Company", "we", "our", or "us" in this document, we are referring to AudioScribe Technologies LLC.

When we say "Services", we mean our website audioscribe.io, and any product created and maintained by AudioScribe Technologies LLC. This includes our transcription services, AI-powered features, collaboration tools, and any associated applications, whether delivered within a web browser, desktop application, mobile application, or another format.

When we say "You" or "your", we are referring to the people or organizations that own an account with our Services.

We may update these Terms of Service ("Terms") in the future. Whenever we make a significant change to our policies, we will refresh the date at the top of this page and take appropriate steps to notify account holders.

When you use our Services, now or in the future, you are agreeing to the latest Terms. There may be times where we do not exercise or enforce a right or provision of the Terms; however, that does not mean we are waiving that right or provision. These Terms do contain a limitation of our liability.

If you violate any of the Terms, we may terminate your account. We do our best to deserve your trust by maintaining transparency about our practices and keeping an open door to your feedback.

Account Terms

  1. You are responsible for maintaining the security of your account and password. The Company cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. We recommend using strong, unique passwords and enabling two-factor authentication where available.
  2. You may not use the Services for any illegal purpose or to violate any laws in your jurisdiction.
  3. You are responsible for all content uploaded to and activity that occurs under your account, including content uploaded by and activity of any users in your workspace.
  4. You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
  5. You must be at least 13 years old to use our Services — and at least 16 in the European Economic Area and the UK, or the minimum age required in your country.

Content and Privacy

  1. Your Content: You retain all rights to the content you upload to AudioScribe. We claim no ownership rights over your audio files, video files, transcriptions, or any other materials you submit to the Services.
  2. Limited License: You grant us a limited license to use, store, and process your content solely for the purpose of providing the Services to you. This includes:
    • Processing your audio/video files through our transcription services
    • Storing your files and transcriptions on our secure servers
    • Enabling collaboration features you've authorized
    • Creating backups to ensure service reliability
  3. Service Improvement: We may access your content in the following circumstances:
    • To provide support when you request assistance
    • To ensure service quality and fix technical issues that affect service delivery
    • To maintain platform security and investigate potential abuse
    • To comply with legal requirements when required by law
  4. Privacy: We process your data as described in our Privacy Policy and for no other purpose. Our access to the actual content of your files is limited as described there — generally only with your permission (for example, to resolve a support request) or as needed to investigate security issues or abuse, or to comply with the law. We use industry-standard encryption and security measures to protect your content.

Service Access and Security

  1. Service Availability: Your use of the Services is at your sole risk. We provide these Services on an "as is" and "as available" basis. While we strive for high availability, we do not guarantee uninterrupted access to the Services.
  2. Security Measures: We implement comprehensive security measures including:
    • Encryption for data in transit and at rest
    • Regular security audits and updates
    • Access controls and authentication systems
    • Secure cloud infrastructure
  3. Security Incidents: Despite our security measures, no system is completely secure. In the event of a security incident:
    • We will notify affected users as required by law
    • We will take reasonable steps to investigate and remediate the issue
    • You acknowledge that we cannot guarantee absolute security and will not be liable for unauthorized access to your data resulting from circumstances beyond our reasonable control

Payment, Refunds, and Subscriptions

  1. Free Tier: Our free tier includes limited daily transcriptions. No payment method is required for free tier usage.
  2. Paid Subscriptions: Paid plans are offered on a monthly or annual auto-renewing basis. Your billing cycle starts on the day you upgrade, and the subscription renews automatically for the same period until you cancel. Prices are shown before you purchase; depending on how you subscribe, applicable taxes may be added at checkout or included in the displayed price.
  3. How you're billed:
    • On the web: payments are processed by our payment processor (Stripe). Your subscription renews automatically until cancelled, and you can cancel from your account settings.
    • Through the Apple App Store: payment is charged to your Apple account at confirmation of purchase. The subscription automatically renews unless you turn off auto-renew at least 24 hours before the end of the current period, and your account is charged for renewal within 24 hours before the period ends. You manage or cancel the subscription in your Apple ID account settings — not from within AudioScribe — and the purchase is also governed by Apple's terms.
    • Through Google Play: payment is charged to your Google account, and the subscription automatically renews for the same period unless you cancel before the renewal date (Google may place an authorization hold shortly before each renewal). You manage or cancel the subscription in your Google Play account settings — not from within AudioScribe — and the purchase is also governed by Google's terms.
  4. Refunds: For purchases made on the web, we may offer refunds at our discretion for unused portions of prepaid subscriptions. For purchases made through the Apple App Store or Google Play, refunds are handled by Apple or Google under their policies and must be requested from them (for Apple, via reportaproblem.apple.com); we are not able to issue those refunds directly.
  5. Changes: We may change our pricing with reasonable notice to existing customers; for app-store subscriptions, price changes are handled in accordance with the relevant store's rules and your consent where required.

Recording and Consent

AudioScribe lets you record, upload, and transcribe audio and video. Laws on recording and transcribing conversations vary by location — some jurisdictions require the consent of all parties before a conversation may be recorded. You are solely responsible for obtaining every consent and providing every notice required by applicable law before you record, upload, transcribe, summarize, or share any conversation, meeting, or other content involving other people. You represent that you have the right to submit the content you provide and to have it processed as described in these Terms and our Privacy Policy. AudioScribe is a tool you control; we are not responsible for how you use it, and you agree to indemnify us for claims arising from your failure to obtain required consents.

Acceptable Use

You agree not to use AudioScribe to:

  1. Upload, record, or transcribe content without the consents required by law from the people involved
  2. Upload content that violates any law or regulation
  3. Process content that infringes on intellectual property rights
  4. Transcribe content that is defamatory, harassing, or abusive
  5. Record or monitor people unlawfully, including any use that would constitute illegal surveillance or wiretapping
  6. Attempt to gain unauthorized access to our systems or other users' accounts
  7. Use the service in a way that could damage or impair our infrastructure
  8. Resell or redistribute our Services without permission

Third-Party Services

  1. AudioScribe integrates with third-party services including:
    • Transcription providers (AssemblyAI, Deepgram)
    • AI services (OpenAI, Google Gemini)
    • Payment processing (Stripe)
    • Cloud infrastructure (Google Cloud)
  2. Your use of the Services may be subject to additional terms from these third-party providers.
  3. We are not responsible for the availability or accuracy of third-party services.

AI Features and Accuracy

AudioScribe uses automated speech recognition and AI to generate transcripts, summaries, and chat responses. These outputs are produced by machines and may contain errors, omissions, or inaccuracies, including incorrect words, mislabeled speakers, or summaries that miss or misstate context. You are responsible for reviewing outputs before relying on them. AudioScribe does not provide legal, medical, financial, or other professional advice, and you should not rely on transcripts, summaries, or AI responses for any decision that requires professional judgment or that could have legal, health, financial, or safety consequences. The Services are provided to assist you, not to replace your own judgment.

Mobile Applications and App Stores

We offer AudioScribe mobile applications, including through the Apple App Store and (where available) Google Play. The following terms apply to your use of those apps:

  1. License: We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the AudioScribe app on devices that you own or control, as permitted by these Terms and the usage rules of the applicable app store.
  2. Agreement is with us, not the stores: These Terms are between you and AudioScribe Technologies LLC only, and not with Apple Inc. or Google LLC. AudioScribe, not Apple or Google, is solely responsible for the app and its content.
  3. No store responsibility for support or warranties: Apple and Google have no obligation to furnish any maintenance or support services for the app. To the maximum extent permitted by law, Apple and Google have no warranty obligation with respect to the app. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and (for App Store purchases) Apple will refund the purchase price you paid for the app, if any; to the maximum extent permitted by law, Apple and Google will have no other warranty obligation whatsoever with respect to the app.
  4. Claims: AudioScribe, not Apple or Google, is responsible for addressing any claims relating to the app, including product liability, any claim that the app fails to conform to a legal or regulatory requirement, claims under consumer protection or similar law, and intellectual property claims.
  5. Legal compliance: You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  6. Third-party beneficiaries: Apple and Google, and their subsidiaries, are third-party beneficiaries of these Terms as they relate to your use of the app, and upon your acceptance of these Terms will have the right to enforce them against you as a third-party beneficiary.
  7. Apple Standard EULA: Your use of our iOS app is also licensed under Apple's standard Licensed Application End User License Agreement, which applies in addition to these Terms. To the extent of any conflict between Apple's standard agreement and these Terms with respect to the licensed application, Apple's standard agreement governs.
  8. Store terms: You must also comply with the applicable app store's terms of service and usage rules.

Limitation of Liability

To the maximum extent permitted by law, AudioScribe Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  1. Your use or inability to use the Services
  2. Any unauthorized access to or alteration of your transmissions or data
  3. Any interruption or cessation of transmission to or from the Services
  4. Any bugs, viruses, or other harmful code that may be transmitted through the Services
  5. Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content
  6. The statements or conduct of any third party on the Services

This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

Cancellation and Termination

  1. Cancelling a subscription: You can cancel a web subscription from your account settings. If you subscribed through the Apple App Store or Google Play, you cancel through your Apple ID or Google Play subscription settings.
  2. Deleting your account: You can delete your account at any time — in the mobile app at Settings > Account > Delete Account, from your web account settings, or by emailing privacy@audioscribe.io. (Deleting the app from your device does not delete your account or cancel a subscription.)
  3. If you cancel a subscription: your paid plan remains active until the end of the current billing period, and we do not provide prorated refunds for the unused portion except where required by law or the applicable app store's policy. Your account itself stays open — you can continue on the free tier and download your data.
  4. If you delete your account: your content becomes immediately inaccessible and is permanently deleted within 60 days, except for a limited amount of information we are required to retain (such as billing, tax, and legal-compliance records), consistent with our Privacy Policy. We recommend downloading any data you want to keep before you delete your account.
  5. We reserve the right to suspend or terminate accounts that violate these Terms.

Modifications to the Service

  1. We continuously improve AudioScribe and may modify, suspend, or discontinue any part of the Services at any time.
  2. We will provide reasonable notice for significant changes that affect your use of the Services.

Indemnification

You agree to indemnify and hold harmless AudioScribe Technologies LLC, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any claims and expenses, including attorneys' fees, arising out of your use of the Services, including but not limited to your violation of these Terms.

General Terms

  1. These Terms constitute the entire agreement between you and AudioScribe Technologies LLC.
  2. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  3. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
  4. You may not assign or transfer these Terms without our prior written consent.
